DEFINITIONS
“Agreement” means these Supplemental Standard Terms and Conditions for Speakers.
“Event” means the Organizer’s event at which the Speaker will deliver a speech.
“Organizer” means GSMA Ltd. at Suite 203, 150 Ottley Drive, Atlanta, GA, 30324, U.S.A.
“Presentation” means the speech, lecture or presentation to be delivered by the Speaker at the Event.
“Speaker” means the individual or individuals who will deliver a speech at the Event.
“Speaker’s Company” means the employer of the Speaker.
“Speaker Materials” means all materials tangible or intangible form, including, but not limited to, PowerPoint slides, photographs, publicity materials, other speech materials, whether or not presented by the Speaker at the Event or during interviews managed by Organizer.
“Recording” means any photographs or any audio or video recordings of the Presentation or the Speaker otherwise participating in the Event.
SPEAKER MATERIALS & RECORDINGS
The Speaker and Speaker’s Company hereby grant to Organizer the perpetual, worldwide, non-exclusive, fully paid-up, royalty free, irrevocable license to use, offer for sale, exhibit, reproduce and distribute the Speaker Materials for use by Organizer and third parties; and Speaker understands the Event will be videotaped, recorded and also broadcast live for the purpose of being used and distributed globally over the internet. The Organizer, by capturing the Speaker’s Presentation will become the copyright owner of that Recording. To the extent that the Speaker has any rights in the Recording, the Speaker hereby assigns all rights, title and interest in the Recording to Organizer for use of the Recording by Organizer and third parties. The authorization explicitly includes the use of the Speaker’s name, likeness, voice and/or pre-approved biographical information for the purpose of publicizing any broadcast, webcast, distribution, publication, or exhibition of the Presentation or portions thereof. Speaker hereby grants to Organizer the right to enforce, at Organizer’s expense, any copyright or moral rights in or attaching to the Speaker Materials provided by Speaker in relation to Event and owned by the Speaker or Speaker’s Company. Speaker hereby agrees to cooperate with Organizer and to do all such things and provide all such information as reasonably required by Organizer to allow it to enforce those rights on Speaker’s and Speaker’s Company’s behalf and/or on Organizer’s behalf. Nothing in this Agreement shall give Speaker any recourse against Organizer in relation to any failure to enforce those rights. Failure by Organizer to enforce those rights at any time shall not be construed as waiving its rights to enforce any future infringements. Without prejudice to the foregoing, nothing in this Agreement shall be construed as preventing the Speaker or Speaker’s Company from enforcing any copyright or moral rights independently of Organizer and applies only to Recordings or Speaker Materials delivered at the Event.
INDEMNITY
You warrant that (i) the Speaker Materials are the Speaker’s own original materials, and (ii) to the extent that the Speaker Materials or Recordings contain any third party intellectual property rights or materials, that You have obtained from such third party the unrestricted, perpetual, worldwide permission for such intellectual property or materials to be used in the manner contemplated by, and in accordance with the licenses granted under, these Supplemental Standard Terms and Conditions for Speakers.
Speaker and Speaker’s Company, jointly and severally, shall indemnify Organizer and its sub-licensees against all claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable legal costs and damages, resulting from or in connection with any claim against Organizer or its sub-licensees alleging that Organizer’s or its sub-licensee’s dealings with the Speaker Materials infringe any third party's proprietary or intellectual property rights.
GENERAL
This Agreement shall be construed in accordance with, and all disputes hereunder shall be governed by, the laws of England and each party hereby submits to the exclusive jurisdiction of the English courts, in relation to any controversies, proceedings or disputes in connection with this Agreement. Speaker hereby warrants that the Speaker has the authority to enter into this Agreement on the behalf of and to bind both Speaker and Speaker’s Company. Organizer shall pay no fee to or reimburse any expenses of Speaker or Speaker’s Company. This Agreement is the complete, final and exclusive statement of the terms of the agreement between the parties and supersedes any and all other prior and contemporaneous negotiations and agreements, whether oral or written, between them relating to the subject matter hereof. This Agreement may not be varied, modified, altered, or amended except in a writing signed by each of the parties.
